Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Master Explore Ninja ("we", "us", or "our") regarding your use of our lighting control services and website.
By engaging our services, using our website, or entering into a contract with us, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services or website.
Services Description
Master Explore Ninja provides professional lighting control services including:
- Smart home lighting automation systems
- Commercial building lighting control
- LED retrofit and upgrade services
- Energy management systems
- Maintenance and technical support
- Design consultation and project management
All services are subject to availability and our acceptance of your order.
Service Agreement Process
Quotations
- All quotations are valid for 30 days unless otherwise stated
- Prices are subject to change based on site conditions and requirements
- Final pricing will be confirmed in writing before work commences
Acceptance
- A binding contract is formed when you accept our written quotation
- Acceptance may be by signature, email confirmation, or deposit payment
- We reserve the right to decline any order at our discretion
Pricing and Payment
Pricing
- All prices are quoted in British Pounds (GBP) and include VAT where applicable
- Prices exclude any additional costs such as permits, utilities connections, or modifications
- We reserve the right to adjust prices if site conditions differ from initial assessment
Payment Terms
- Deposit: 30% upon contract acceptance
- Progress payments: As outlined in specific project agreements
- Final payment: Upon completion and customer acceptance
- Payment terms: Net 30 days from invoice date
- Late payment charges: 1.5% per month on overdue amounts
Project Timeline and Delivery
- Project timelines are estimates and subject to material availability and site conditions
- Delays caused by customer, third parties, or force majeure events may extend completion dates
- We will make reasonable efforts to meet agreed schedules
- Liquidated damages for delays may apply only if specifically agreed in writing
Warranties and Guarantees
Workmanship Warranty
- We provide a 2-year warranty on installation workmanship
- Warranty covers defects in installation and configuration
- Does not cover damage from misuse, accidents, or normal wear
Equipment Warranty
- Equipment is covered by manufacturer warranties
- We facilitate warranty claims but are not responsible for manufacturer defects
- Extended warranty options may be available for purchase
Customer Responsibilities
Customers are responsible for:
- Providing accurate information about requirements and site conditions
- Ensuring safe and reasonable access to work areas
- Obtaining necessary permits and approvals where required
- Providing adequate power and utilities for installation
- Protecting equipment from damage after installation
- Following operation and maintenance instructions
- Timely payment according to agreed terms
Limitations of Liability
To the fullest extent permitted by law:
- Our total liability shall not exceed the value of the specific project
- We are not liable for indirect, consequential, or special damages
- We are not responsible for damages caused by third-party products or services
- Claims must be made within 12 months of the incident
- Our liability for delays is limited to direct additional costs
Cancellation and Termination
Customer Cancellation
- Written notice required for all cancellations
- Cancellation within 14 days: 20% of contract value
- Cancellation after work commences: Full payment for completed work plus materials ordered
- Custom equipment orders are non-refundable once placed
Our Right to Terminate
- We may terminate for non-payment, breach of terms, or safety concerns
- Termination requires 7 days written notice unless immediate action needed
- Customer remains liable for all work completed and materials supplied
Intellectual Property
- All designs, specifications, and documentation remain our property
- Customers receive a non-exclusive licence to use installed systems
- Third-party software is subject to manufacturer licence terms
- We retain rights to use project information for promotional purposes (with consent)
Confidentiality
- We respect customer confidentiality and protect sensitive information
- Access credentials and security information are kept confidential
- Project details may be shared with suppliers and subcontractors as necessary
- Non-disclosure agreements available upon request
Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including:
- Natural disasters, epidemics, or government actions
- Supply chain disruptions or material shortages
- Labour disputes or utility failures
- Acts of terrorism or civil unrest
Affected parties must provide prompt notice and make reasonable efforts to minimise impact.
Dispute Resolution
Informal Resolution
- Disputes should first be addressed through direct communication
- Project manager or director will attempt resolution within 14 days
- Good faith efforts required from both parties
Formal Procedures
- Unresolved disputes may be referred to mediation
- Arbitration available for technical disputes
- English courts have jurisdiction for legal proceedings
- English law governs all agreements and disputes
Insurance and Liability
- We maintain comprehensive public liability insurance (£2 million)
- Professional indemnity insurance covers design and advisory services
- Customers should maintain appropriate property and liability insurance
- Insurance certificates available upon request
Modifications to Terms
- These Terms may be updated periodically
- Material changes will be communicated to active customers
- Continued use of services constitutes acceptance of updated Terms
- Specific project contracts may include additional terms
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be replaced with enforceable terms that achieve similar commercial objectives.
